We assist in preparing various agreements including employment contracts, non-compete, non-solicitation and non-disclosure agreements. We also work with you to prevent or mitigate future liability by establishing policies, procedures, and regulatory compliance programs.

Intellectual Property Licensing
We have experience licensing intellectual property as part of dispute resolution and as part of maximizing a clients’ assets. We can also provide IP asset analysis and auditing for internal use or for mergers, acquisitions, financing or licensing. In one case, we handled licensing of technical know-how for use in zinc mining and its specific applications in a South American mining operation.

Mergers & Acquisitions
We represent buyers, sellers and other parties in business merger and acquisition transactions. We advise clients on finance transactions and capital raising, and document those transactions to protect our clients’ interests and comply with applicable law.  We have represented sellers were the goal is maximizing sales proceeds, or mitigating or eliminating go forward liability. We have also represented buyers where due diligence, risk reduction and price are paramount.
